Qualibid Terms and Conditions
Advertiser Terms and Conditions
The QualiBid.com advertising program allows advertisers to list their web sites in the search results generated by QualiBid.com and/or its affiliates in response to a search term corresponding to the subject of the search listing. Advertisers choose keywords that are relevant to their web sites while selecting the precise amount they wish to pay when consumers click on their listings. Site listings on QualiBid.com are ranked and determined according to the highest bidders. Signing up for the QualiBid.com advertising program does not guarantee that any or all of the search terms submitted will be accepted by QualiBid.com or that such search terms will generate any traffic to Advertiser’s site. QualiBid.com reserves the right to reject and/or remove any search terms submitted by Advertisers.
INTRODUCTION
QualiBid.com will provide the Advertiser with access to its pay-per-click search engine subject to “the Advertiser's” compliance with the terms and conditions contained in this “agreement.” Please read these Terms and Conditions carefully prior to signing up for a QualiBid.com advertising account. This “agreement” is subject to change by QualiBid.com at any time. By enrolling as an Advertiser with QualiBid.com, Advertiser agrees to be bound by these terms and conditions.
USE
QualiBid.com, for purposes of this agreement, is the process by which consumers search for a desired subject and Advertisers bid for search terms, and which search terms produce a search result that contains Advertiser’s search listings. These results can be viewed at affiliate web sites of QualiBid.com. Advertiser understands and agrees that consumers may view and access search listing advertisements from a third-party web site that is an affiliate of QualiBid.com.
PAYMENT
QualiBid.com requires payment in advance for all Advertiser accounts.
Advertisers must fund their accounts with at least $30 in order to
activate their ads (not applicable to some payment methods). Advertiser agrees to pay all applicable charges to the account with respect to the payment method selected in accordance with billing terms in effect at the time the fee becomes payable. Advertiser understands and agrees that the account will be charged for all clicks on Advertiser’s search listing advertisements and that QualiBid.com is not responsible for the maintenance of Advertiser’s web site. Payments to QualiBid.com must be made by the payment methods listed on Qualibid.com web site. Advertiser agrees, warrants and represents that all information
provided for the purpose of enrolling as an Advertiser will be
accurate, complete and current. Advertiser also warrants and represents that all payment information provided to QualiBid.com will be accurate and complete, and current. Advertiser’s right to access an account with QualiBid.com is subject to any limits established by QualiBid.com, its contractors or by Advertiser’s credit/charge. If payment cannot be charged to Advertiser’s credit facility for any reason, or if there is a charge back for any reason, QualiBid.com reserves the right, in its sole discretion, with or without notice, to either suspend or terminate Advertiser’s account with QualiBid.com. QualiBid.com’s final billing to Advertiser shall be conclusively presumed by Advertiser to be accurate and proper.
CHARGES
Qualibid.com will charge Advertiser’s campaign balance based on the number of clicks it provides and the bids set by the Advertiser. Advertiser acknowledges that the payment obligation hereunder is based solely on the number of clicks and not on Advertiser's ability to convert clicks to sales.
REFUND POLICY
If the advertiser is not satisfied with the quality of purchased clicks for any reason, he or she may submit request for internal investigation via Qualibid ticket system within 30 days from the moment of receiving these clicks. The advertiser is encouraged to provide additional materials that will help Qualibid investigate the
issue. Every refund is subject to individual decision and publisher payment schedule. If Qualibid determines that the reported traffic source has provided the advertiser with low quality traffic, the advertiser's internal account may be credited with the appropriate amount, provided that the publisher that sent the above mentioned traffic has not yet been paid for it. In some cases advertiser may receive a refund regardless of the publisher payment status.
TERMINATION
Advertiser may suspend or cancel participation in the QualiBid.com
advertising program by written notice to QualiBid.com. The remaining
account balance will not be returned to the advertiser.
Advertiser waives the right to request a refund of the remaining
balance. QualiBid.com may cancel Advertiser’s participation in the
Advertising program at any time for any or no reason. QualiBid.com
reserves the right to cancel the advertising program at any time.
Credits or promotional credits are non refundable.
INDEMNIFICATION OBLIGATIONS
Advertiser agrees to indemnify and hold QualiBid.com and its officers, directors, agents, affiliates and employees from and against all claims, actions, liabilities, losses, expenses, damages, and costs (including without limitation reasonable attorney fees) resulting from claims or actions arising out of or in connection with (i) Advertiser's participation in the QualiBid.com Advertising program, (ii) Advertiser's web sites or any links from Advertiser's web sites (iii) any libel, defamation, violation of right of privacy or publicity, copyright infringement, trademark infringement or other infringement of any third party right, fraud, false advertising, misrepresentation, product liability or violation of any law, statute, ordinance, rule, or regulation throughout the world in connection with Advertiser’s web sites (iv) any breach by Advertiser of any duty, representation, warranty under any agreement with QualiBid.com, or (v) relating to a contaminated file, virus, worm, or Trojan horse emanating from Advertiser’s web sites. Advertisers are solely responsible for defending any claim, and for payment of damages or losses resulting from the foregoing to both a third party and to QualiBid.com.
RIGHT TO REJECT
All requested URL links, search terms and descriptions are subject to QualiBid.com's approval. QualiBid.com reserves the right to reject, cancel or remove any URL link, search terms and descriptions at any time for any reason whatsoever.
RELEVANCY
Advertisers may only submit search terms and descriptions to QualiBid.com's advertising program that are relevant to submitted web sites or to those web pages contained in web sites. If any information provided on Advertiser’s web sites is changed, search terms and descriptions must be updated to be both current and accurate. All search terms and descriptions submitted are subject to relevancy review by QualiBid.com, and are subject to removal or rejection.
SEARCH LISTINGS
QualiBid.com does not guarantee that Advertiser’s search listings will be available or displayed and QualiBid.com reserves the right to not place Advertiser’s search listings within any search results list generated in connection with the QualiBid.com advertising program. The format of Advertiser’s search listings may vary and QualiBid.com makes no representations as to the format of search listings. In all cases information for the search listing must be submitted in the form requested by QualiBid.com.
TRANSFER OF RIGHTS
Advertiser’s registration with QualiBid.com is for sole, personal, and exclusive use. Advertisers may not authorize others to use the QualiBid.com account, and may not assign or otherwise transfer the account to any other person or entity. Advertisers shall not, under any circumstances, have the right to transfer or assign the account, any personal identification numbers or password to any other person or party. Any such attempted transfer or assignment shall be void and shall constitute a material breach of this agreement on Advertiser’s part. In addition, Advertisers must promptly inform QualiBid.com of any apparent breach of security, such as loss, theft, or unauthorized disclosure or use of Advertiser’s account, personal identification number or password.
ADVERTISER'S RIGHTS AND RESPONSIBILITIES
Advertiser may submit material for search listing advertisements by logging into his/her account from our homepage. QualiBid.com reserves the right to reject or remove any search listing advertisement at its discretion. Advertiser represents and warrants that the search listing advertisement, in itself or through the site it links to, (i) does not violate any law or regulation; (ii) does not infringe in any manner any copyright, patent, trademark, trade secret or other intellectual property right of any third party; (iii) does not breach any duty toward or rights of any person or entity including, without limitation, rights of publicity or privacy, or had not otherwise resulted in any consumer fraud, product liability, tort, breach of contract, injury, damage or harm of any kind to any person or entity; (iv) is not false or misleading; and/or (v) is neither defamatory, libelous, slanderous or threatening.
PERSONAL INFORMATION
Upon registration process, advertiser is responsible for providing
their valid address, phone number, electronic mail and instant
messenger (if applicable). For tax related purposes, advertiser must
also indicate their valid place of residence by selecting the
appropriate radio button. Canadian non-Quebec residents will be
charged GST ( GST will be applied to each of their payments). Quebec
residents will be charged GST and QST ( GST and QST will be applied to
each of their payments). It is the advertiser's sole responsibility to
provide valid residence information. Qualibid may contact any
advertiser by mail, phone, electronic mail or instant messenger to
verify their identity, to discuss their payment details or for any
other reason.
MULTIPLE ACCOUNT REGISTRATION
Advertiser is not allowed to register more than one Qualibid account
without official permission from Qualibid administration. Any
advertiser intending to sign up for more than one Qualibid account is
requred to contact Qualibid administration via internal ticket system.
We reserve the right to suspend and / or permanently delete any and /
or all advertiser accounts belonging to the individual who registered
them without our prior express consent.
PAYPAL PAYMENTS
Upon adding funds via PayPal account that has not been used before,
advertiser will be required to confirm the e-mail address associated
with their PayPal account in accordance with the on-screen and e-mail
instructions. Providing new primary or secondary e-mail address
associated with the PayPal account that has already been used, will
also require advertiser's confirmation. The advertiser's account will
not be funded until the verification is complete. Qualibid reserves
the right to decline any payment for any reason. PayPal transaction
fee will be subtracted from the amount paid.
WEBMONEY TRANSFER SYSTEM
The services offered by Qualibid are not provided for, by request or
on behalf of WebMoney Transfer System. Qualibid hereby acts as an
independent entity providing services and making independent decisions
regarding its services, fees and policies. WebMoney Transfer System
does not receive any commissions, interest, awards, refunds or any
other fees for the services provided by Qualibid and is not liable for
Qualibid's activities. The verification performed by WebMoney Transfer
System only confirms the identity of Qualibid as well as the accuracy
of its contact details. This verification is exectuted based upon
Qualibd's own free will and does not signify any connection and / or
commercial activity between Qualibid and WebMoney Transfer System.
PHONE VERIFICATION
Upon receiving PayPal or Credit Card payment from a new advertiser,
Qualibid representative may contact such advertiser by phone in order
to verify their payment details. Phone verification is a standard
procedure and we strongly encourage all advertisers to provide the
phone number where they can be easily reached. Qualibid reserves the
right to hold any payment until phone verification is done.
ILLEGAL CONTENT
We strictly prohibit forwarding our traffic to any web sites and / or landing pages containing, promoting or distributing the following illegal resources (directly or by means of a redirect of any kind): Illegal Products
Ads for products that assist a person in breaking the law are not acceptable. This would include, for example, an ad for a product that could help someone pass a drug test.
Hate
Ads for any group that is involved in hate speech or acts are not acceptable.
Child Pornography
Ads for child pornography are strictly forbidden.
Malware
Ads for all kinds of malware including but not limited to Rogue
security software or Rogue anti virus software are stricly forbidden.
Software *
* Ads for “spyware” (adware) are not acceptable. We define “spyware” as software that merely displays advertising. Ads for a product that is downloaded onto the visitor’s machine are acceptable only if:
• The download page is NOT empty and contains descriptive and / or explanatory text;
• The download begins only after the visitor clicks through to the advertiser’s web site (i.e., no automatic downloads);
• The visitor is able to decline the dowload offer by either pressing the appropriate decline button or safely closing the download page. (Closing the download page must NOT trigger any new browser windows or tabs, popups, popunders, floating windows, banners or other downloads);
• The visitor is required to affirmatively agree to the download in order for it to begin; and
• Prior to agreeing to the download, the user is clearly told: (1) exactly what product(s) will be installed; and (2) exactly how the downloaded product(s) will function, including what personal information, if any, it/they will collect and/or use.
The advertiser, who creates an ad containing a link to any of the above-mentioned resources, will be immediately banned. In such event, the remaining account balance will not be returned to the banned advertiser.
SHOWN URL
The domain in the ad's shown URL must always match the domain in the
landing page URL. The advertisers who ignore this rule are at risk of
having their account suspended. The advertisers who cannot obey to
this condition due to potential violation of third party terms, are
required to contact Qualibid support in order to discuss the issue.
DUPLICATE CONTENT
We aim at maintaining the integrity of our search results, which is the reason why Qualibid advertisers are not allowed to run two or more identical or similar ads* containing identical keywords** within the same geographic region.
Likewise, Qualibid advertisers are not allowed to run two more ads with the same click URL or leading to the same URL*** (directly or via redirect of any kind) containing identical keywords** within the same geographic region.
The advertisers who ignore this rule are at risk of having their account terminated.

** Identical keywords or key phrases that include keywords or key phrases (with broad or phrase match) from another similar ad.
*** Domain, sub-domain or landing page.
LIMITATION OF LIABILITY AND WARRANTY DISCLAIMER
The Advertiser expressly agrees that the use of QualiBid.com is at the Advertiser’s own risk. QualiBid.com is available on an “as is” basis, without warranty of any kind, express or implied. Neither QualiBid.com nor any of its licensors, employees, agents, consultants or contractors, makes any warranty or representation whatsoever regarding QualiBid.com, any information, services or products provided or available through or in connection with QualiBid.com or any results obtained through the use thereof. QualiBid.com hereby disclaims on behalf of itself and all information providers, licensors and/or licensees of any and all warranties including, without limitation: any warranties as to the availability, accuracy or content of QualiBid.com and/or information, products or services available through QualiBid.com; and any warranties of title or warranties of merchantability or fitness for a particular purpose. Some states do not allow the exclusion of implied warranties, so the above exclusion may not apply to the Advertiser. This limited warranty gives the Advertiser specific legal rights, and the Advertiser may also have other rights, which may vary from state to state. Any liability of QualiBid.com, its information providers, licensors, licensees, employees, agents, consultants or contractors, including, without limitation, any liability for damages caused or allegedly caused by any failure of performance, error, omission, interruption, deletion, defect, failure of delivery of merchandise or information, delay in operation or transmission, computer virus, communications line failure, theft or destruction or unauthorized access to, alteration of, or unlawful use of QualiBid.com’s records, whether for breach of contract, tortuous behavior, negligence, or under any other cause of action, shall be strictly limited to the amount already paid to QualiBid.com, its information providers, licensors, licensees, employees, agents, consultants or contractors, be liable for any indirect, special, incidental, or consequential damages, arising out of the use or inability to use QualiBid.com and/or the sites linked to QualiBid.com or for any breach of warranty. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to the Advertiser. The Advertiser agrees that QualiBid.com will not be held responsible for the selection or retention of, or any acts, errors, or omissions by, any third party in connection with QualiBid.com and/or sites linked to QualiBid.com, including, without limitation, those with whom QualiBid.com contracts to operate various portions of QualiBid.com and those to whom QualiBid.com provides links to for content, advertising or any other type of data or information.
CANCELLATION OR TERMINATION
If Advertiser is dissatisfied with QualiBid.com or the terms and
conditions herein, Advertiser’s sole and exclusive remedy is to
terminate the account. Accounts may be canceled at any time by sending
an email to sales@qualibid.com. QualiBid.com may, in its sole
discretion, terminate Advertiser’s account, and discontinue the
advertising account, or use of any search term if QualiBid.com
believes that Advertiser has violated this Agreement or other policies
or guidelines that QualiBid.com may post on QualiBid.com. QualiBid.com
can also terminate advertising accounts if QualiBid.com believes
Advertiser’s conduct is harmful to other consumers and advertisers who
participate in QualiBid.com. The remaining account balance will not be
returned to the advertiser. Advertiser waives the right to request a
refund of the remaining balance. All decisions made by QualiBid.com in
this matter will be final.
APPROVAL
QualiBid.com, in its sole discretion, may not approve an Advertiser’s listing to the search results. No reason is required to be given to the Advertiser why their advertisement has or has not been approved. All decisions made by QualiBid.com in this matter will be final.
